Deal Discussion & Case Study Prep
Late-round secondaries interviews usually come down to two things: walking through a deal and taking a view on it, and working a case under time pressure. Most candidates prep neither properly. They pick a deal they can't defend, or they freeze when a case asks them to price an asset and make a call. This package prepares you for both. Session 1: The deal discussion. We pick a publicly announced secondaries deal (or one from your own experience, kept at the level you're allowed to discuss) and build your walkthrough: why the seller did it, how it was structured and priced against NAV, what the buyer was betting on, and the risks. You leave with a one-page outline. Session 2: The case study. How secondaries cases are typically set up (take-home or timed, single asset or portfolio) and a repeatable framework for working one: understand the asset and the GP, underwrite the value, set a price against NAV and check the returns, weigh the structure and alignment terms, and land a clear recommendation. We work through an illustrative case together. Between sessions: you complete a representative practice case and send me your write-up. I return line-by-line written feedback within 48 hours. Session 3: The mock. A timed deal discussion plus a case presentation, with the follow-ups interviewers push on: risks, alternatives, whether you'd do the deal, and how it looks from the advisory side vs the buy side. Written scoring afterward. *All cases and examples use public deals and illustrative numbers. Practice cases are written for this package and are representative, not taken from any firm's process.
